Terms of Service

These terms govern your use of the Citrus service. Citrus is currently operated as a sole trader business based in Sydney, Australia. The name of the operator will be disclosed on request and published on this page once ABN registration is complete; formal incorporation is in progress.

1. Agreement

By using Citrus (the “Service”), you agree to these Terms. If you do not agree, do not use the Service.

2. Service description

Citrus is an AI-powered contract analysis tool that provides automated document review for informational purposes only. The Service reads contract text and produces a structured risk map, market benchmarks, and suggested language for negotiation.

3. Not legal advice

  • The Service does not provide legal advice and does not create a solicitor-client or attorney-client relationship.
  • Analysis is generated by artificial intelligence and is provided for informational purposes only. It may contain errors or omissions.
  • You should seek independent legal advice before signing any contract.
  • Any decisions you make based on the Service’s output are at your own risk.

4. Eligibility

You must be at least 18 years old and have the legal capacity to agree to these Terms.

5. Payments

Full analysis reports are available through a paid subscription. Fees are in Australian Dollars (AUD) and billed monthly unless stated otherwise. You may cancel your subscription at any time; access continues until the end of your billing period. Due to the instant delivery of digital services, refunds are generally not available except where a technical failure prevented delivery. Contact us within 14 days of purchase for refund requests.

Nothing in these Terms excludes any consumer guarantee, right, or remedy you have under the Australian Consumer Law.

6. Acceptable use

You agree not to:

  • Use the Service for unlawful purposes
  • Upload contracts you do not have the right to share
  • Reverse-engineer or extract the underlying technology
  • Use automated tools to access the Service
  • Resell or redistribute the Service’s outputs
  • Represent outputs as professional legal advice

7. Intellectual property

The Service and its technology are owned by Citrus. You retain all rights in documents you upload. Analysis reports are for your personal or internal business use only.

8. Disclaimer of warranties

TO THE EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY ANALYSIS.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY IN CONNECTION WITH THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR AUD $50, WHICHEVER IS GREATER. WE ARE NOT LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, OR INCIDENTAL DAMAGES. Nothing in this clause limits liability that cannot be excluded under the Australian Consumer Law.

10. Indemnification

You agree to indemnify us against any claims arising from your use of the Service, your violation of these Terms, or your reliance on the Service’s outputs, except to the extent caused by our negligence or breach.

11. Termination

We may suspend or terminate access to the Service at any time for breach of these Terms. Sections 3, 7, 8, 9, and 10 survive termination.

12. Governing law

These Terms are governed by the laws of New South Wales, Australia. The parties submit to the exclusive jurisdiction of the courts of New South Wales.

13. General

These Terms constitute the entire agreement. If any provision is unenforceable, the remainder stays in effect. Our failure to enforce a right is not a waiver.
